A RESOLUTION FINDING THAT THE AMENDMENT AND RESTATE- MENT OF THE CERTIFICATE OF INCORPORATION OF FLORALA UTILITIES BOARD IS WISE, EX- PEDIENT AND NECESSARY, AP- PROVING THE AMENDED AND RESTATED CERTIFICATE OF INCORPORATION OF FLORALA UTILITIES BOARD AND CONSENT- ING TO THE FILING FOR RECORD OF SUCH AMENDED AND RESTAT- ED CERTIFICATE OF INCORPO- RATION OF FLORALA UTILITIES BOARD IN THE OFFICE OF THE JUDGE OF PROBATE OF COVING- TON COU NTY.,ALABAMA. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FLO- RALAAS FOLLOWS: Section 1. Findinas and Determi- nations. The City Council (the "Council") of the City of Florala (the "City") does hereby find and determine as fol- lows: (a) The Florala Utilities Board (the "Board") was heretofore incorporated on July 16, 1940 as evidenced by the filing for record of its Certificate of Incorporation in Book 3, Pages 151-154 in the Office of the Judge of Probate of Covington County, Ala- bama. The Board presently exists under Article 8 of Chapter 50 of Title 11 of the ALA. CODE (1975), which permits the Board to operate a water system and sewer system. (b) The Board's Certificate of In- corporation has been amended from time to time, as follows: (1) December 16, 1948 in Book 4, Page 366, (2) December 19, 1955 in Book 4, Pages 136-138, (3) December 4, 1978 in Book 30, Pages 856-857, (4) February 23, 1979 in Book 31, Pages 93-94, (5) October 13, 2004 in Book 2004, Pages 1754-1755, (6) October 12, 2005 in Book 2005, Pages 1819-1820 and Woman Writes Historic Letter to Her Congressman BEXAR COUNTY-After applying Thera-Gesic to her arthritic hands, Mary Ann W, hand wrote a forty-seven page letter to her Congressman explaining the tree meaning of life. (e) The Utilities Board issued its $626,000 Gas Revenue Bonds, Se- ries 1965, dated April 1, 1965, upon which it defaulted on or about Janu- ary, 1979, and, in confiection there- with, evidently dissolved the Utilities Board and transferred ownership of the gas system to the City of Florala. The City of Florala then transferred the gas system to the Board by a res- olution adopted by the City Council and approved by the Board of Direc- tors on August 17, 2004. However, as aforesaid, Article 8 does not pro- vide for the operation of gas system, and therefore: in order to provide for the lawful operation of the gas sys- tem by the Board, it is necessary for the Board to amend and restate its Certificate of Incorporation pursuant to ALA. CODE 11-50-312 (1975) and ALA. CODE 11-50-324 (1975) to come under and be governed by Article 9 of Chapter 50 Title 11 of the ALA. CODE (1975). (f) The Board proposes to issue its $1.005,000 Water, Sewer and Revenue Bonds, Series 2009, dated- February 1, 2009 .(the "Series 2009 Bonds") on February 10, 2009. The Board shall pledge the net system revenues from the water, sewer and gas system operating in the City and surrounding territory and it is impera- tive that the Board have good and merchantable title to such systems. The City hereby transfers and con- veys whatever interest it may have, if any, in the existing water, sewer and natural gas system located in the City and surrounding territory to the Board. (g) In consideration of the forego- ing, the Council hereby determines that it is wise, expedient, necessary and in the best interest of the taxpay- ers of the City, for the Board to m- incorporate under Article 9 of Chap- ter 50 of Title 11 of the ALA. CODE (1975) by amending and restating the existing Certificate of Incorpora- tion in the entirety thereof and substi- tuting therefor the form of Amended and Restated Certificate of Incorpo- ration which is attached hereto as Exhibit A and incorporated herein by reference. Section 2. ADoroval of Amended and Restated Certificate of Incorpo- ration The Council hereby adopts, ratifies, confirms and approves the Amended and Restated Certificate of Incorporation, attached hereto as Ex- hibit A in all aspects, and the Chair- man and Secretary-Treasurer of the Board are hereby authorized and direqted to execute and deliver said Certificate to the Office of the Judge of Probate of Covington County, Ala- bama for recording. Section 3. Consent to Filinq Cer- tificate for Record The Council hereby consents to the filing of the Amended and Re- stated Certificate of Incorporation for record in the Office of the Judge of Probate of Covington County, Ala- bama, and authorizes and dire;ts the Chairman and Secretary-Treasurer of the Board to record said Certificate in said Office. Section 4. Severability The provisions of this resolution are severable. In the event that any one or more of such provisions shall, for any reason, be held illegal or in- valid, such illegality or invalidity shall not affect the other provisions of this resolution, and this resolution shall be construed and enforced as if such illegal or invalid provision had not been contained herein or therein. Section 5. Immediate Effect This resolution shall take effect the right, privilege, authority and franchise to acquire, own operate. construct, enlarge and improve in the City a water works plant and distribu- tion system, a sanitary sewer system and a natural gas utility system, or any one of them, for the purpose of supplying water, sanitary sewer and natural gas services in the City and the surrounding territory and to the inhabitants thereof,'and to use the streets, avenues, alleys and public ways and places in the City for such purposes1 Section 2. Imorovements to Mu- nicioal Property. The City hereby grants to the Board the right, privilege, authority and franchise at any time and from time to time during the period cov- ered by this franchise and without any requirement as to permit or fee therefore, to lay, construct and main- tain pipes and mains and other con- ductors, fixtures and related appurte- nances in, along, across and under the streets, avenues, alleys and other public places in the City, and to repair, renew, relay and extend such pipes and mains, conductors. fixtures and related appurtenances and to make all excavations neces- sary therefore. Section 3. Maintenance of Mu- nicioal Pronerty The Board shall, and by accept- ing this franchise agrees that it wilt upon making any excavation in the streets, avenues, alleys, public ways and public places of the City, restore the surface or paving at the point of such excavation in substantially the same condition as before such work was done, all as promptly as may be practicable and within a reasonable length of time thereafter. Section 4. Successors and As- sians: Security for Obliaations The rights, privileges, franchises and authorities hereby granted may be exercised by the Board or any successor or assign of the Board and may be mortgaged and conveyed in trust by the Board as security for any bonds or other obligations hereafter issued by it, all subject, nevertheless, to the conditions and obligations herein contained. Section 5. Duration. The franchise granted hereby shall be" ped0etual or shall be for the longest period of time permitted by applicab!e law. Section 6. Severability.
